Scholars Worker Terms

These Worker Terms ("Terms") govern your access to and participation in Scholars, a workforce platform operated by iMerit Inc. ("iMerit", "Scholars", "we", "our", or "us"). Scholars connects skilled professionals ("Scholars") with opportunities to participate in research, evaluation, annotation, and other specialized tasks. By creating an account or participating in work opportunities through Scholars, you agree to these Terms.

Scholars is a platform designed to: • identify and onboard skilled professionals • administer assessments and qualification programs • connect Scholars with project opportunities • manage work coordination and quality evaluation • facilitate payments through third-party providers Scholars does not guarantee work opportunities or minimum earnings. Project participation is optional and depends on project availability and performance.

Scholars users perform work as independent contractors. Nothing in these Terms creates: • an employment relationship • a partnership • or an agency relationship between you and iMerit or its clients. You are responsible for: • your taxes • your social security contributions • compliance with local regulations.

To participate in Scholars you must: • be at least 18 years old • have the legal ability to enter contracts • have the legal right to perform independent contractor work in your country • provide accurate information during registration Providing false information may result in account suspension.

To maintain platform integrity and comply with regulatory requirements, Scholars may require: • identity verification • background checks • tax documentation • payment onboarding These processes may be conducted through third-party providers. Failure to complete required verification steps may limit or suspend platform access.

From time to time Scholars may present you with: • assessments • research tasks • annotation or evaluation work • project engagements Each opportunity may have its own: • compensation structure • performance expectations • confidentiality requirements. Participation is voluntary. You are free to accept or decline opportunities.

Scholars maintains quality standards to ensure high-quality outputs. Your continued participation may depend on: • task accuracy • responsiveness • adherence to project guidelines • compliance with platform rules. Failure to meet quality standards may limit access to future opportunities.

Payments for work performed through Scholars are processed through third-party payment providers. Payment eligibility may depend on: • successful completion of tasks • approval of submitted work • completion of payment onboarding. Payment timing may vary depending on the payment provider and banking systems. Scholars does not hold funds or operate as a financial institution.

You agree not to: • misuse the platform • attempt unauthorized access • use automation or bots where prohibited • share project materials externally • interfere with system security. Violation of these rules may result in suspension or termination.

Many projects on Scholars involve confidential or proprietary information. You agree not to: • disclose project materials • copy or redistribute datasets • share prompts, training data, or evaluation tasks • reveal client information. Additional confidentiality agreements may apply to specific projects.

All platform software, interfaces, and documentation are the property of iMerit or its licensors. Work created within projects may be subject to separate intellectual property assignments.

We aim to maintain reliable platform access but do not guarantee uninterrupted availability. Platform services may be modified, suspended, or discontinued at any time.

Scholars may suspend or terminate your account if: • these Terms are violated • fraudulent or harmful behavior is detected • verification requirements are not completed. Users may close their accounts at any time.

To the fullest extent permitted by law, iMerit is not liable for: • indirect damages • lost income • loss of opportunity • platform interruptions.

Your personal data is handled in accordance with the Scholars Privacy Notice.

We may update these Terms periodically. If material changes occur, we will notify users through the platform or by email. Continued use of Scholars constitutes acceptance of the updated Terms.
